1. Acceptance of Terms

By accessing our website at https://flowliberate.com/ or engaging our services, you agree to be bound by these Terms of Service ("Terms") and our Privacy Policy. These Terms constitute a legally binding agreement between you ("Client," "you," or "your") and Rafał Sokołowski - Izenflow ("Company," "we," "us," or "our").

If you do not agree with any part of these Terms, you must not use our services.

3. Services Description

We provide custom automation workflow development services, including but not limited to:

  • Python-based automation scripts and applications
  • n8n workflow design and implementation
  • Make.com (formerly Integromat) automation setup
  • Custom API integrations and data processing solutions
  • Business process automation consulting

All services are provided on a project basis according to specifications agreed upon in writing.

4. Service Process

4.1 Project Initiation

  • Initial consultation to understand your automation requirements
  • Detailed project specification and timeline proposal
  • Written agreement on scope, deliverables, and pricing
  • Payment terms confirmation before project commencement

4.2 Project Delivery

  • Development according to agreed specifications
  • Testing and quality assurance of automation workflows
  • Delivery of completed solutions with documentation
  • Basic implementation support and initial troubleshooting

4.3 Project Completion

Projects are considered complete upon delivery of agreed deliverables and client acceptance, or 7 days after delivery if no response is received.

5. Payment Terms

5.1 Pricing and Payment

  • All prices are quoted in USD and include applicable taxes
  • 50% payment is required upfront before project commencement
  • Remaining 50% is due upon project completion and delivery
  • We accept payments through Stripe payment processing
  • Project timelines are determined during the proposal phase and agreed upon in writing

5.2 Post-Project Services

After project completion, additional services are available:

  • Ongoing Updates: Long-term retainer arrangements for regular updates and maintenance
  • One-time Fixes: Individual fixes or modifications at agreed constant pricing
  • Terms and pricing for post-project services will be agreed upon separately

5.3 Refund Policy

Refunds are available under the following conditions:

  • Non-delivery: If we fail to deliver agreed services due to our fault
  • Defective Work: If the delivered automation breaks due to errors in our implementation
  • Specification Failure: If delivered work materially fails to meet written specifications
  • Time Limit: Refund requests must be made within 30 days of project delivery
  • Partial Refunds: For projects terminated mid-way, refunds will be calculated based on work completed
  • Processing: Approved refunds are processed within 5-10 business days
  • Exclusions: No refunds for completed work that meets agreed specifications or for third-party service changes

6. Client Responsibilities

You agree to:

  • Provide accurate and complete information necessary for project completion
  • Respond promptly to requests for information or feedback during development
  • Provide access to necessary systems, APIs, or data as agreed
  • Make the required 50% upfront payment before project commencement
  • Make final payment upon project completion and delivery
  • Use delivered automation solutions in compliance with applicable laws and ethical standards
  • Not use our services for harmful, unethical, or illegal purposes
  • Respect intellectual property restrictions as outlined in Section 7

7. Intellectual Property

7.1 Custom Project Ownership

For custom automation projects created specifically for your requirements:

  • Upon full payment, you own all intellectual property rights to the delivered solution
  • You may use, modify, and distribute the automation as needed for your business
  • Ownership transfer occurs upon project completion and final payment

7.2 Productized Workflow Ownership

For productized workflows that have been customized for your use:

  • You own the customized version delivered to you
  • You may use and modify the solution for your internal business purposes
  • Redistribution Restriction: You may not resell, redistribute, or share the workflow with third parties
  • We retain rights to the underlying framework and methodology

7.3 Our Retained Rights

We retain ownership of:

  • General methodologies, techniques, and development processes
  • Reusable code libraries and frameworks we have developed
  • Any pre-existing intellectual property used in projects
  • The underlying structure of productized solutions

7.4 Client IP

You retain ownership of all data, content, and intellectual property you provide to us. You grant us a temporary license to use such materials solely for completing your project.

8. Service Limitations and Warranties

8.1 Ethical Standards

We reserve the right to decline projects that we deem:

  • Unethical or potentially harmful to individuals or society
  • Illegal or facilitating illegal activities
  • Violating third-party rights or terms of service
  • Outside our technical capabilities or expertise

8.2 Service Warranty

We warrant that:

  • Our services will be performed with reasonable skill and care
  • Delivered automation will function according to agreed specifications
  • We will correct errors in our implementation at no additional cost
  • This warranty is valid for 30 days after project completion

8.3 Third-Party Technology Disclaimer

Our automation solutions rely on emerging technologies and third-party services. We cannot guarantee:

  • Continued functionality if third-party APIs change or become unavailable
  • Compatibility with future updates to external platforms (n8n, Make.com, etc.)
  • Stability of third-party services beyond our control
  • That third parties will maintain their current pricing or terms

8.4 General Disclaimers

EXCEPT AS EXPRESSLY STATED, ALL SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

We do not guarantee that automation solutions will be error-free, uninterrupted, or meet all your business requirements beyond the agreed specifications.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

  • OUR TOTAL LIABILITY FOR ANY CLAIM SHALL NOT EXCEED THE AMOUNT PAID FOR THE SPECIFIC PROJECT
  • WE SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
  • WE SHALL NOT BE LIABLE FOR LOSS OF PROFITS, DATA, OR BUSINESS INTERRUPTION
  • THESE LIMITATIONS APPLY REGARDLESS OF THE LEGAL THEORY OF LIABILITY

10. Indemnification

You agree to indemnify and hold us harmless from any claims, damages, or expenses arising from:

  • Your use of delivered automation solutions
  • Your violation of these Terms
  • Your violation of applicable laws or regulations
  • Any data or content you provide that infringes third-party rights

11. Confidentiality

Both parties agree to maintain confidentiality of any proprietary or sensitive information shared during the course of our business relationship. This obligation survives termination of our agreement.

We will not disclose your business information, data, or project details to third parties without your written consent, except as required by law.

12. Force Majeure

Neither party shall be liable for delays or failures in performance due to circumstances beyond their reasonable control, including natural disasters, government actions, internet outages, or other force majeure events.

13. Termination

13.1 Termination by Client

You may terminate a project at any time with written notice. Payment obligations:

  • The 50% upfront payment is non-refundable once work has commenced
  • You will be responsible for payment of any completed milestones
  • Any remaining work-in-progress will be delivered in its current state

13.2 Termination by Company

We may terminate our services immediately if you:

  • Fail to make the required upfront payment
  • Breach these Terms
  • Provide false or misleading information
  • Request work that violates our ethical standards
  • Use our services for illegal or harmful purposes

14. Dispute Resolution

Any disputes arising from these Terms or our services shall be resolved through:

  1. Good faith negotiation between the parties
  2. If negotiation fails, binding arbitration under Polish arbitration rules
  3. The arbitration shall be conducted in Wrocław, Poland, in the English language

Each party shall bear their own costs unless the arbitrator decides otherwise.

15. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Poland. Any legal proceedings shall be subject to the exclusive jurisdiction of Polish courts.

16. Changes to Terms

We reserve the right to modify these Terms at any time. Changes will be effective immediately upon posting on our website. Continued use of our services after changes constitutes acceptance of the modified Terms.

For ongoing projects, existing terms will remain in effect until project completion.

17. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.

18. Entire Agreement

These Terms, together with our Privacy Policy and any written project agreements, constitute the entire agreement between the parties and supersede all prior negotiations, representations, or agreements.
